About the Position

Our client based in Johannesburg is looking for a Legal and Compliance Officer to provide legal and compliance services to the Group in accordance with the organizations objectives and strategy.

Education and Minimum Requirements:

  • Matric or equivalent
  • LLB, admission as an Attorney 5 years Professional Legal and compliance experience
  • Strong working knowledge and understanding of the South African corporate laws and regulations
  • Strong experience at managing compliance at a group level
  • Strong contract drafting skills on commercial agreements
  • Strong working knowledge of MS Word, Power Point and Excel

  • The ability to interact with people at all levels in the organization and in the socio-economic environment
  • The ability to determine deadlines and execute outputs accordingly without exceeding target dates

Responsibilities

Compliance Support

  • Oversee compliance plans, processes, workflows, procedures and manuals
  • Keep abreast of developments within the regulatory environment
  • Monitor and interpret industry developments and relevant laws and regulations
  • Provide guidance, advice, awareness and training on matters pertaining to compliance
  • Manage and report compliance breaches and exposures
  • Prepare and present reports to senior management and relevant regulatory bodies
  • Maintain good working relationships with regulatory bodies
  • Communicate with representatives of regulatory bodies in a professional and efficient manner

Legal Management

  • Consult with relevant business units on legal opinions required
  • Peruse agreements / contracts and provide opinions on acceptability and appropriateness (valid and legally binding) for the organization
  • Keep abreast of regulatory changes and advise the organization of the impact on business operations
  • Provide input on draft legislation
  • Draft and review contracts with business partners, joint venture partners, service providers and contractors etc. to manage the legal risks to the organization
  • Provide general legal support and substantive legal advice to the operations of the organization
  • Provide a practical business approach to legal matters
  • Prepare reports for senior management within the organization as and when required
  • Draft legal and policy documents and amend same when required
  • Attend to all legal correspondence e.g. letters of demand, summons and all court processes received
  • Attend to all legal related matters for the organization promptly, professionally and efficiently
  • Liaise with outside advisors on specialized areas of law, where required
  • Follow the organization’s approved procurement policy and establish a panel of attorneys for the company
  • Maintain regular contact with panel of attorneys
  • Continuous review of the performance of the panel of attorneys o Liaise with external attorneys and prepare comprehensive briefs to counsel, where required

Litigation

  • Consider merits of possible litigation
  • Conduct research on case law
  • Update litigation register on a monthly basis
  • Live up to the company’s professional standards
